Spirit Halloween’s parent company is buying Hot Topic for around $350 million
Spencer Spirit Holdings to buy Hot Topic, BoxLunch and Her Universe
Spencer Spirit Holdings, which owns Spirit Halloween, is acquiring Hot Topic and its BoxLunch and Her Universe brands. The reported price, about $350 million, is nearly half what Hot Topic sold for in 2013. The deal creates a six-brand, 3,000-store empire.

Spencer Spirit Holdings, the parent of Spencer’s and Spirit Halloween, signed a deal to acquire Hot Topic and its entire portfolio from private equity firm Sycamore Partners. The announcement landed Friday, right as Spirit Halloween stores start popping up for the season.
Hot Topic and its brands will keep operating independently and stay headquartered in California. CEO Steve Vranes keeps his job and will report to Spencer Spirit CEO Steven Silverstein.
What Spencer’s buying, and the six brands it now controls
This isn’t just Hot Topic the store. It’s a whole family of brands.
Hot Topic’s portfolio includes its namesake chain plus BoxLunch, the pop-culture gift retailer, and Her Universe, the fandom fashion line. Bolt those onto what Spencer Spirit already runs, and one company now controls six retail concepts:
Hot Topic, the alt-culture and band-merch mall staple
BoxLunch, licensed pop-culture gifts
Her Universe, geek and fandom apparel
Spencer’s, the edgy novelty shop
Spirit Halloween, the seasonal Halloween giant
Spirit Christmas, its newer holiday spinoff
Together, that’s more than 3,000 stores across North America. If you’ve ever bought a band tee, a Funko Pop, a gag gift, or a last-minute costume at a mall, you’ve probably shopped at one of these.
The price tells the real story: Hot Topic sold for half its 2013 value
Here’s the number that says the most, and it isn’t in the official announcement.
Financial terms weren’t disclosed, but Bloomberg reported the deal at around $350 million. For context, when Sycamore Partners bought Hot Topic back in 2013, it paid roughly $600 million.
So Hot Topic just sold for close to half of what it went for a little over a decade ago. That’s a steep markdown, and it tracks with a hard reality: the mall-anchored, band-merch retail that defined Hot Topic’s heyday has spent years fighting the same declining foot traffic that’s hit every mall chain. The brand still matters. It’s just worth a lot less than it used to be.
That 2013 sale also included Torrid and Blackheart, which aren’t part of this deal. So Spencer’s is buying a slimmer Hot Topic than the one Sycamore picked up.
Why the timing lines up with Halloween
There’s a reason this feels seasonally appropriate, and it’s not an accident of the calendar.
Spirit Halloween is a late-summer-into-fall machine. Its stores materialize in empty retail space every August and September, do enormous business through October 31, then vanish. The company knows this rhythm cold, and it’s expanding into year-round retail on the back of that seasonal muscle.
Hot Topic gives it a permanent, year-round mall presence to complement the pop-up seasonal model. Silverstein framed the fit around aligned values and broader reach, calling it a chance to “write the next chapter of retail history together.”
Whether that chapter is good for shoppers is the open question. Consolidation like this can mean smarter buying and better licensed collabs across brands, or it can mean the quirky differences between these stores slowly sanding down into one big alt-retail blob. For now, nothing changes on the shelves, and your nearest Spirit Halloween is still opening on schedule. It just answers to a company that now owns the goth store down the hall, too.
